1. Acceptance of these terms
These Terms of Service (“Terms”) govern your use of the BuyerIQ application and this website (together, “BuyerIQ”). BuyerIQ is powered by Neophar Pharmaceutical and developed by Ritesh Chaudhary (“we”, “us”). By installing or using BuyerIQ you agree to these Terms. If you use BuyerIQ on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.
2. The service
BuyerIQ is a desktop application that helps you analyse trade and buyer data, research companies and markets, manage leads and send email outreach. It is local-first: your data is stored on your own computer. Some features need services you configure yourself, such as an AI provider, a web-search provider or an email account, and are unavailable without them.
Access to BuyerIQ may be provided on request. We may change, add or remove features over time.
3. Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use BuyerIQ for your internal business purposes. You may not:
- resell, sublicense, rent or distribute BuyerIQ, except as we allow in writing;
- reverse engineer, decompile or attempt to extract its source code, except where the law allows this despite this restriction;
- remove or alter any proprietary notices; or
- use BuyerIQ to build a competing product.
4. Your data
You keep all rights to the data you import into or create with BuyerIQ. Because it is stored on your device, you are responsible for backing it up and keeping that device secure. You confirm that you have the rights and, where required, a lawful basis to import and process any data you use with BuyerIQ, including personal information about third parties. How BuyerIQ handles data is described in our Privacy Policy.
5. Acceptable use
You agree not to use BuyerIQ to:
- break any applicable law or regulation, including export-control, sanctions, data-protection and anti-spam laws;
- send unsolicited bulk email, spam, phishing or deceptive messages;
- harass, defraud or mislead anyone;
- infringe intellectual-property, privacy or other rights;
- scrape or access websites or services in breach of their terms, or in a way that overloads them; or
- interfere with the security or operation of BuyerIQ or any connected service.
6. Email outreach
When you connect an email account, messages are sent from your own account and on your behalf. You are solely responsible for the content of the emails you send, for who you send them to, and for complying with the laws that apply to them, for example the CAN-SPAM Act, GDPR, PECR and other anti-spam and privacy laws. This includes identifying yourself accurately, having a lawful basis to contact each recipient, and honouring opt-out requests. You must also follow the terms and sending limits of your email provider (for example Google, Microsoft or your hosting provider).
BuyerIQ helps by sending one personalised email per recipient and recording opt-outs, but these tools do not make your outreach compliant on their own.
7. AI and research output
BuyerIQ can use AI and public web sources to produce answers, summaries, research findings and draft emails. This output may be incomplete, out of date or wrong. BuyerIQ labels where facts come from and marks unknowns, but you are responsible for checking important information before you rely on it or send it to anyone. This includes company details, contact information, prices, quantities and regulatory or certification status. AI-drafted emails are sent only when you choose to send them. BuyerIQ does not provide legal, regulatory, financial or medical advice.
8. Third-party services
BuyerIQ can connect to services provided by others, such as Google, Microsoft, Anthropic, web-search providers and email hosts. Your use of those services is governed by their own terms and privacy policies, and you are responsible for any fees they charge. We are not responsible for third-party services, their availability or their content, including content on websites retrieved during research.
9. Intellectual property
BuyerIQ, including its software, design, name and logo, is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not give you any rights to our trademarks. If you send us feedback, we may use it without any obligation to you.
10. Disclaimer of warranties
To the fullest extent permitted by law, BuyerIQ is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee that BuyerIQ will be uninterrupted, error-free or secure, or that any information it produces will be accurate or complete.
11. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill or data, arising from or related to your use of BuyerIQ, even if we were advised of the possibility. Our total liability for any claim relating to BuyerIQ is limited to the amount you paid us for BuyerIQ in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity
You agree to indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your data, the emails you send, your breach of these Terms or your violation of any law or third-party right.
13. Termination
You may stop using BuyerIQ at any time by uninstalling it. We may suspend or end your licence if you breach these Terms. Sections that by their nature should survive termination, including sections 4 and 7 to 12, survive it. Your locally stored data remains on your device after termination.
14. Changes to these Terms
We may update these Terms from time to time. We will change the effective date above when we do. If you continue to use BuyerIQ after an update takes effect, you accept the updated Terms.
